These Terms of Use ("Terms") govern your access to and use of the ZWai™ waste-diversion intelligence application, website, and related services (collectively, the "App"), whether accessed at zwai.ai, zwai-expert.web.app, a custom or co-branded partner domain, or as an installed web app. The App is owned and operated by Northstar Maintenance Management Inc., d/b/a CompostitALL.com® ("CompostitALL," "we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
1. The Service
The App helps users identify whether an item should be composted, recycled, or sent to landfill, and provides related waste-diversion guidance, including information drawn from third-party certification data such as BPI and CMA. The App is an educational and engagement tool.
2. Guidance Only — No Warranty of Accuracy
Waste sorting recommendations are provided for general guidance only and may not reflect the rules of your specific municipality, hauler, or facility. You are responsible for verifying disposal decisions with your local waste hauler or program. The App does not measure, certify, or report diversion tonnage or regulatory compliance. The App is provided "as is" and "as available" without warranties of any kind, express or implied.
3. Acceptable Use
- You may use the App only for lawful purposes and in accordance with these Terms.
- You may not interfere with, disrupt, scrape, reverse engineer, or attempt to gain unauthorized access to the App or its underlying systems, data, or source code.
- You may not use the App, or any content or technology within it, to build or train a competing product or service.
4. Intellectual Property & Ownership
The App and all of its contents — including but not limited to its software, source code, machine-learning models and prompts, recognition logic, product and certification data, text, graphics, user interface, design, look and feel, the names ZWai™ and CompostitALL.com®, the tagline Scan. Sort. Share.™, logos, and all related trademarks and trade dress (collectively, the "Materials") — are the exclusive property of CompostitALL.com® and its licensors and are protected by United States and international copyright, trademark, trade-secret, and other intellectual-property laws.
No ownership, license, or other right in or to the Materials is transferred to you by your use of the App. All rights not expressly granted are reserved.
5. Licensed Promoters & Co-Branded Versions
CompostitALL.com® may authorize partners (each, a "Licensed Promoter") to market and distribute a co-branded version of the App that displays the partner's name, logo, URL, and color (for example, an Imperial Brady-branded version). The following applies to every such co-branded or licensed deployment:
- The co-branded App, and all underlying Materials, remain the sole and exclusive property of CompostitALL.com®. Co-branding does not transfer any ownership interest to the Licensed Promoter.
- Authorization to market the App as a Licensed Promoter of ZWai™ waste diversion does not grant the Licensed Promoter any right or authorization to copy, reproduce, modify, distribute, reverse engineer, sublicense, white-label, or otherwise use any of the Materials — including the software, content, data, design, or branding — for any purpose other than promoting the App as expressly authorized.
- Any such use requires the prior authorized written consent of CompostitALL.com®. Use without that written consent is unauthorized and constitutes infringement and a breach of these Terms.
- The Licensed Promoter acquires no rights in the ZWai™ or CompostitALL.com® marks beyond the limited right to display them as approved by CompostitALL.com® for the purpose of promoting the App, and must not contest or attempt to register those marks.
- CompostitALL.com® may revoke any promotion authorization and disable any co-branded deployment at any time. The rights and restrictions in this Section survive any termination.
- These restrictions apply to each Licensed Promoter, partner, and user regardless of the state or country from which the App is accessed, installed, or marketed, and are in addition to (and do not limit) any separate written license, promoter, or reseller agreement between the partner and CompostitALL.com®. Where a signed agreement and these Terms both apply, the signed agreement controls any conflict, and these Terms otherwise remain in full force.
6. User Content
Photos you submit are processed to provide sorting guidance and may be stored to improve accuracy. You retain ownership of your photos but grant CompostitALL.com® a non-exclusive, worldwide, royalty-free license to use them for operating and improving the App. See our Privacy Policy for details.
7. Limitation of Liability
To the fullest extent permitted by law, CompostitALL.com® and its affiliates, Licensed Promoters, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use of, or reliance on, the App or its guidance.
8. Indemnification
You agree to indemnify and hold harmless CompostitALL.com® from any claims arising out of your misuse of the App or your violation of these Terms, including any unauthorized use or reproduction of the Materials.
9. Changes
We may update these Terms from time to time. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
10. Governing Law
These Terms, and any dispute arising out of or relating to these Terms or the App, are governed by and construed in accordance with the laws of the State of Minnesota, United States, and applicable United States federal law, without regard to any conflict-of-law rule that would apply the law of another jurisdiction. CompostitALL.com® is a Minnesota company with its principal place of business in Minnesota, and that location bears a reasonable relationship to these Terms.
11. Jurisdiction, Venue & Consent
By accessing, installing, marketing, or otherwise using the App from any location, you irrevocably agree that the exclusive forum for any dispute arising out of or relating to these Terms or the App shall be the state courts located in Hennepin County, Minnesota, or the United States District Court for the District of Minnesota. You consent to the personal jurisdiction of those courts, waive any objection based on improper venue or forum non conveniens, and agree not to bring any such dispute in any other forum. This applies to every user and Licensed Promoter regardless of the state or country in which they are located or from which they access or market the App.
12. Equitable Relief
You acknowledge that any actual or threatened unauthorized use, copying, reproduction, or disclosure of the Materials would cause CompostitALL.com® immediate and irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, CompostitALL.com® is entitled to seek injunctive and other equitable relief — in addition to any other remedy available at law, including its reasonable attorneys' fees and costs where permitted — without the necessity of posting a bond, in any court of competent jurisdiction, including to protect its rights under United States copyright, trademark, and trade-secret law.
13. General Provisions
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. CompostitALL.com®'s failure to enforce any provision is not a waiver of its right to do so later. You may not assign these Terms without CompostitALL.com®'s prior written consent; CompostitALL.com® may assign them freely. These Terms, together with any separate signed agreement referenced in Section 5, are the entire agreement regarding your use of the App. Sections 4, 5, 7, 8, 11, and 12 survive any termination.
